In Bangladesh Robi-Airtel merger gets High Court clearance




The High Court of bangladesh has green lighted the merger between mobile phone operators Robi (Axiata group Malaysia)and Airtel(Bharti group,India).



After the deal, the new entity will become the second largest mobile phone operator in Bangladesh and continue business under Robi's name.


Robi will have 75 percent ownership over the new company, in line with BTRC recommendations as the operator's 3G licence has a 2018 deadline.

Justice Syed Refaat Ahmed's bench approved the merger on Wednesday, clearing the path for the telecoms regulator to give the final clearance if there is no objection from any party.


Previously On January 28 this year, both the parent companies signed a Definitive Agreement to merge Robi and Airtel and were expected to implement it in Bangladesh in the first half of this year.

However, the government of Bangladesh did not come to any conclusive decision about the issue although Robi and Airtel jointly applied for the merger September 17 last year, sources said.


Currently Airtel has 20 MHz and Robi has 19.80 MHz spectrum band. The total amount of 39.80 MHz spectrums of the two organizations. GP is currently the highest 32 MHz. High-quality voice calls, high-speed Internet service from the third and fourth generation mobile spectrum for the most important thing.

Robi, Airtel across the country and more than 100 customer service centers, 11 thousand distributors and the retailer of a half million will come under one umbrella. There are more than 14 thousand mobile phone towers of Robi and Airtel after marger,Presently Robi has 8 thousand and Airtel has 5 thousand 7 hundred towers .


In fact, Robi Axiata Limited started in Bangladesh in 1996. Telecom Malaysia AK Khan Group and the industrial partnerships are conducted in the name of the company Aktel to 2010. Since its inception the company has invested 16 billion and Airtel started business in Bangladesh with 2010 purchased Warid Telecom. So far, the company has invested 1 billion.

After completion of the merger, Axiata will hold 68.3 percent controlling stake and Bharti Airtel 25 percent, while the remaining 6.7 percent will be held by the existing shareholder -- NTT Docomo of Japan.
